1. About These Terms
These Terms are entered into between Vigilant Security Group Ltd (company number 14306435, registered office 106 Ilford Lane, Ilford, England, IG1 2LD) (“we”) and the organisation registering for or using the SAB 360 platform (“you”, “Client Organisation”). By ticking the acceptance box at sign-up, or using the Services after being given reasonable notice of these Terms, you agree to be bound by them on behalf of the Client Organisation you represent.
2. The Services
SAB 360 provides shift sign-in/out with location verification, rota scheduling, SIA licence and right to work compliance tracking, patrol checkpoint verification, incident reporting, and policy acknowledgement, together with related administrative and reporting tools.
3. Account Registration and Your Responsibilities
- You must provide accurate information at registration and keep it up to date.
- You are responsible for all activity under your account and for revoking access for departed staff promptly.
- You are responsible for having a lawful basis to process your own staff's data through the Services, including giving your staff appropriate notices.
- You must use the Services only for lawful workforce management purposes connected with your security or facilities management business.
4. Subscription Plans, Fees and Payment
- Services are offered on Small and Medium self-serve monthly plans and a separately-quoted Enterprise plan.
- Self-serve subscriptions are billed monthly in advance via Stripe. We do not store your full card details.
- We may change pricing on renewal with at least 30 days' notice.
- Fees are exclusive of VAT and other applicable taxes.
- We may suspend access if payment fails and is not resolved within a reasonable period after notice.
5. Term, Cancellation and Suspension
- Self-serve subscriptions renew monthly until cancelled; cancellation takes effect at the end of the current billing period.
- We may suspend or terminate access for material breach not remedied within 14 days, non-payment, a reasonable security concern, or a legal requirement.
- On termination, data return or deletion is handled per our Data Processing Agreement.
6. Intellectual Property
We own all rights in the SAB 360 software and branding. You retain all rights in the data you and your staff input (“Customer Data”); you grant us a licence to host and process it solely to provide the Services, in accordance with our Data Processing Agreement.
7. Service Availability
We use reasonable endeavours to keep the Services available but do not guarantee uninterrupted operation. Planned maintenance is notified in advance where practicable.
8. Warranties and Liability
We provide the Services with reasonable care and skill. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be limited. Subject to that, our total liability in any 12-month period is limited to the fees you paid us in the preceding 12 months, and neither party is liable for indirect or consequential loss.
9. Data Protection
Each party will comply with UK GDPR and the Data Protection Act 2018. Our Data Processing Agreement sets out the terms on which we process personal data on your behalf and forms part of these Terms by reference.
10. Changes to These Terms
We may update these Terms from time to time and will give reasonable notice of material changes. Continued use after a change takes effect constitutes acceptance.
11. Governing Law
These Terms are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
